Skillmarkdown Contracting Party
These Terms are between you and SKILLMARKDOWN PTY LTD, doing business as Skillmarkdown.

1. Scope And Acceptance
These Terms of Use govern your access to and use of the Skillmarkdown website, registry, hosted services, documentation, APIs, CLI, development preview, devnet market flows, wallet-related surfaces, and related software, including the @skillmarkdown/skillmarkdown package.
By accessing or using Skillmarkdown, you agree to these Terms. If you use Skillmarkdown on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
2. Development Preview And Devnet Phase
Skillmarkdown is currently in a development preview and devnet testing phase. Preview features may be incomplete, unavailable, rate-limited, changed, reset, disabled, or removed at any time.
Devnet listings, purchases, wallet balances, receipts, claims, payout amounts, entitlement events, signatures, token transfers, and other devnet records are for testing only. They have no cash value, are not redeemable, are not owed as money, and do not create any right to payment, credit, refund, revenue share, future conversion, or production access.
Any references to buying, selling, earning, payouts, claims, balances, market distribution, USDC, or entitlement during the development preview describe test workflows unless Skillmarkdown separately states in writing that a specific mainnet or paid production program is live under additional terms.
3. Eligibility And Accounts
You may use Skillmarkdown only if you can form a binding contract with Skillmarkdown and your use is not prohibited by applicable law. You are responsible for all activity that occurs through your account, credentials, API tokens, and published namespaces.
You must provide accurate registration and profile information, keep your authentication materials secure, and promptly revoke, rotate, or report compromised credentials.
4. Packages, Content, And Responsibility
You retain responsibility for packages, README content, metadata, artifacts, versions, tags, listings, prices, descriptions, support statements, and other material that you publish, upload, list, or make available through Skillmarkdown.
You represent that you have all necessary rights to submit that content and that doing so does not violate law, contract, security obligations, confidentiality duties, or the rights of any third party.
You are responsible for reviewing, testing, and validating packages, generated outputs, install commands, automation effects, and dependency behavior before using them in development, production, security-sensitive, regulated, or safety-critical environments.
5. Public, Private, And Marketplace Workflows
Skillmarkdown may offer public, private, signed-in, gated, market, and preview workflows with different access, plan, policy, or operational requirements.
Public or registry-visible package metadata, README content, dist-tags, version history, listings, publisher identifiers, wallet binding status, and similar registry-facing information may be visible to other signed-in users or broader audiences depending on product configuration.
Private or restricted workflows are not a substitute for your own access controls, secret management, legal review, or security review. Do not publish secrets, credentials, private keys, personal data, regulated data, or confidential material unless the workflow is explicitly designed for that purpose and you have authority to do so.
6. Wallets, Signatures, And Blockchain Data
Wallet-related features may ask you to connect a wallet, sign a message, submit a transaction, or prove control of an address. You are responsible for verifying the wallet, network, transaction details, destination, amount, token mint, and permissions before signing or submitting anything.
Skillmarkdown is not a wallet provider, custodian, bank, broker, dealer, exchange, clearing agency, payment processor, money transmitter, escrow agent, investment adviser, fiduciary, or tax adviser. Skillmarkdown does not custody your wallet assets and cannot recover assets lost through wallet actions, wrong networks, wrong addresses, compromised keys, or third-party wallet behavior.
Blockchain networks, wallet providers, RPC providers, explorers, indexers, and token programs are third-party systems. Transactions and wallet addresses may be public, permanent, irreversible, delayed, failed, reorged, censored, or outside Skillmarkdown's control.
7. Marketplace, Listings, Entitlements, And Payout Preview
During the development preview, marketplace listings, checkout flows, first-listing grants, claim flows, payout connections, entitlement records, display prices, and amounts shown as owed or claimable are preview mechanics and test records only unless Skillmarkdown separately states otherwise in written production terms.
Skillmarkdown does not guarantee that any skill will be listed, discovered, purchased, installed, used, paid for, ranked, promoted, verified, or kept available. Skillmarkdown may remove, hide, suspend, correct, reset, or reclassify listings, purchases, claims, receipts, payout records, entitlement records, and market data.
Skillmarkdown is not the seller, buyer, agent, employer, broker, reseller, guarantor, or insurer of any third-party package, listing, or workflow. Publishers and buyers are responsible for their own content, representations, testing, compliance, taxes, and disputes.
8. No Financial, Investment, Tax, Or Legal Advice
Skillmarkdown does not provide financial, investment, tax, accounting, legal, securities, commodities, or regulatory advice. Nothing in Skillmarkdown is an offer to sell or buy securities, commodities, tokens, payment instruments, or investment products.
Digital assets, token programs, smart contracts, wallets, and blockchain networks can be risky, volatile, experimental, and irreversible. Do not rely on Skillmarkdown for valuation, liquidity, return, revenue, payout, legal compliance, or tax treatment.
9. CLI, APIs, And Automation
You may use the Skillmarkdown CLI, APIs, and automation workflows only in accordance with these Terms, applicable documentation, rate limits, access scopes, and service restrictions.
You are responsible for reviewing automation outputs, installed packages, build actions, release actions, commands, wallet prompts, and other system effects before relying on them. Agent-generated output may be incomplete, insecure, inaccurate, or unsuitable for your use case.
10. Acceptable Use
You may not use Skillmarkdown to publish, distribute, install, list, buy, sell, claim, automate, or facilitate content or activity that is unlawful, malicious, deceptive, abusive, infringing, harmful, privacy-invasive, security-invasive, sanctions-prohibited, or otherwise violates these Terms, our policies, or third-party rights.
You may not attempt to disrupt or degrade the service, bypass access controls, abuse rate limits, misrepresent identity or ownership, manipulate rankings or market activity, interfere with other users, reverse engineer restricted parts of the service except as allowed by law, or distribute malware or other harmful artifacts.
You may not use Skillmarkdown to evade compliance duties, launder value, facilitate fraud, conduct unauthorized token activity, scrape restricted data, or create legal, operational, security, or reputational risk for Skillmarkdown or others.
11. Tokens, Credentials, And Security
You are responsible for all actions taken with your API tokens, credentials, automation tokens, session state, wallets, signatures, private keys, devices, and published namespaces.
You must safeguard credentials and wallets, use least-privilege scopes where available, avoid publishing secrets, and revoke, rotate, or report compromised credentials promptly.
We may suspend, revoke, restrict, quarantine, hide, or require verification for accounts, tokens, packages, listings, wallet connections, purchases, or claims to protect the service, users, third parties, or legal compliance.
12. Fees, Plans, Interest Lists, And Preview Availability
Certain features or workflows may require a paid plan, invite, entitlement, interest-list approval, or additional terms in the future. Preview access, free grants, test entitlements, and devnet records do not guarantee future availability, pricing, access, conversion, grandfathering, production entitlement, or refund rights.
Unless otherwise stated in separate production terms, fees are non-refundable except where required by law. Devnet tokens, preview balances, grants, claims, receipts, and records are not fees paid to Skillmarkdown and are not refundable or redeemable.
13. Third-Party Services
Skillmarkdown may interoperate with third-party services such as authentication providers, cloud hosting, registries, package managers, repositories, wallet extensions, wallet-standard providers, Solana networks, RPC providers, explorers, indexers, analytics, observability, email, support, security, and payment or token infrastructure.
Third-party services are governed by their own terms and policies. Skillmarkdown is not responsible for third-party service availability, security, fees, content, wallet prompts, transaction behavior, network behavior, data practices, or support.
14. Suspension, Takedowns, And Termination
We may suspend, restrict, remove, hide, quarantine, reset, or terminate your access to Skillmarkdown, or any account, package, listing, wallet connection, purchase, claim, entitlement, or token, if we reasonably believe you violated these Terms, created risk or legal exposure, abused the service, failed to pay required fees, or threatened service integrity or security.
You may stop using the service at any time. Certain content and records may persist as required for legal, operational, security, blockchain, audit, abuse-prevention, or registry-integrity reasons.
15. Intellectual Property
Skillmarkdown and its associated trademarks, software, design, documentation, service elements, and product interfaces are owned by Skillmarkdown or its licensors and are protected by applicable law.
Except for rights expressly granted by these Terms, no rights are transferred to you by implication, estoppel, or otherwise. You retain rights you already hold in content you submit, subject to the licenses needed for Skillmarkdown to operate, display, distribute, secure, test, and improve the service.
16. Disclaimers
Skillmarkdown is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Skillmarkdown disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, security, and that the service will be uninterrupted, error-free, secure, or free from harmful components.
Skillmarkdown does not warrant that packages, listings, wallet flows, signatures, transactions, claims, payouts, entitlements, automation outputs, agent outputs, market data, pricing, rankings, search results, or third-party integrations will be accurate, complete, secure, compatible, lawful, available, profitable, or suitable for your use.
Some jurisdictions do not allow certain disclaimers, so some disclaimers may not apply to you. In that case, the disclaimers apply to the maximum extent permitted by law.
17. Limitation Of Liability
To the maximum extent permitted by law, Skillmarkdown and its affiliates, service providers, licensors, and personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunities, digital assets, tokens, wallet access, private keys, market opportunity, or security incidents arising out of or related to your use of or inability to use the service.
To the maximum extent permitted by law, the aggregate liability of Skillmarkdown for all claims arising out of or relating to the service or these Terms will not exceed the greater of one hundred U.S. dollars (US$100) or the amount you paid to Skillmarkdown for the applicable paid service in the twelve months before the event giving rise to the claim.
The limits in this section apply even if a remedy fails of its essential purpose and even if Skillmarkdown has been advised of the possibility of damages.
18. Indemnity
You will defend, indemnify, and hold harmless Skillmarkdown and its affiliates, personnel, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your content, packages, listings, wallet actions, transactions, claims, automation, use of the service, violation of these Terms, violation of law, or violation of third-party rights.
19. Changes To These Terms
We may update these Terms from time to time. If we make a material change, we may provide notice through the website, product interface, documentation, email, or another reasonable method. The updated Terms will become effective on the date posted unless a later date is stated.
Your continued use of Skillmarkdown after the effective date of revised Terms constitutes acceptance of the updated Terms.
20. Governing Law And Venue
These Terms and any dispute or claim arising out of or related to these Terms or the service will be governed by the laws of the Republic of South Africa, without regard to conflict-of-law principles.
You and Skillmarkdown consent to the exclusive jurisdiction of the courts of South Africa for any dispute or claim arising out of or relating to these Terms or the service, except where applicable law requires a different forum.
21. General
If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect. Skillmarkdown's failure to enforce any provision is not a waiver.
These Terms constitute the entire agreement between you and Skillmarkdown regarding the service, except to the extent superseded by a separate written agreement or order form. You may not assign these Terms without Skillmarkdown's prior written consent. Skillmarkdown may assign these Terms in connection with a reorganization, acquisition, or transfer of the service.
